These Terms of Service ("Terms") govern the relationship and agreements between AI Solutions v/August Ilkjær ("Company," "we," or "us") and the business entity or client accessing our automation and AI services ("Client," "you"). By entering into a service agreement or scheduling a consultation, you agree to these Terms.
1. Description of Services & Eligibility
Services: AI Solutions provides artificial intelligence and automation consulting, setup, and deployment to streamline business workflows.
B2B Limitation: Our services are strictly designed and intended for businesses only (small and medium-sized enterprises). We do not offer consumer-facing (B2C) services. By engaging us, you warrant that you are acting as a commercial entity.
2. Payment and Subscription Terms
Results-Based & Subscriptions: Our pricing structures are tailored to the specific business value delivered, typically operating on a pay-for-results framework or a recurring subscription model for ongoing automation maintenance and support.
Billing & Defaults: Detailed payment schedules, subscription intervals, and performance metrics for results-based compensation will be clearly outlined in your individual statement of work (SOW).
3. Intellectual Property & Ownership of Outputs
Client Ownership: You retain all rights to any proprietary data, materials, or prompts you provide to us. Upon full payment of all applicable fees, the Client fully owns the final custom implementations, software deliverables, unique configurations, and specific outputs generated by the services for their business.
Pre-existing Systems: We retain ownership of our pre-existing methodologies, proprietary code templates, and underlying general knowledge used to build your automations.
4. Crucial AI Liability Disclaimer ("Hallucinations")
No Warranty of Absolute Accuracy: Client explicitly acknowledges that artificial intelligence and machine learning technologies are inherently probabilistic and may occasionally generate inaccurate, incomplete, biased, or incorrect information (commonly referred to as AI "hallucinations").
User Responsibility: The Client is solely and completely responsible for reviewing, verifying, and fact-checking all AI-generated outputs, automated communications, or data before relying on them, publishing them, or allowing them to impact business operations.
AI Solutions v/August Ilkjær shall not be held liable for any damages, financial losses, legal disputes, or business disruptions arising from unverified or inaccurate AI-generated outputs.
5. Limitation of Liability
To the maximum extent permitted under Danish law, AI Solutions v/August Ilkjær shall not be liable for any indirect, incidental, special, or consequential damages—including but not limited to loss of profits, data loss, or system downtime—resulting from the implementation, failure, or behavior of automated AI agents within your business ecosystem.
6. Governing Law & Dispute Resolution
These Terms, along with any individual service contracts, shall be governed by, construed, and enforced exclusively in accordance with Danish law. Any disputes arising directly from these services that cannot be settled amicably shall be referred to the competent courts of Denmark.
